Parties
These general terms apply to all software services delivered under the trade name Thomas Foundry, provided by Thomas Enterprise I BV — Dutch Chamber of Commerce 88064824, registered in Utrecht. For questions: hello@thomasfoundry.com.
By confirming an assignment — in writing, by email or by signed proposal — the client confirms having read and accepted these terms.
Quotes and formation
A Thomas Foundry quote is valid for 30 days unless stated otherwise. The agreement is formed once the client agrees to the proposal in writing, or once Thomas Foundry begins execution after the client has instructed us to do so.
Any change in scope after the assignment is confirmed is recorded in an explicit addendum, including any additional cost.
Approach and delivery
Projects are delivered through weekly demos on a real URL — no Figma prototypes, no waiting until the end. The client has visibility into the current state of the product at any time.
On delivery the project is deployed to the production environment of the client's choice (Vercel, own hosting or similar). After delivery a one-month aftercare period applies without additional cost, covering bug fixes and small adjustments.
Rates and payment
Rates are exclusive of 21% Dutch VAT. Default payment term: 14 days after invoice date. For projects with more than one month's duration, invoicing is in instalments — typically 50% at kickoff, 50% on delivery.
If the payment term is exceeded, we reserve the right to suspend further work until the outstanding amount is settled.
Intellectual property
Upon full payment of the assignment fee, ownership of the code written specifically for the client transfers to the client. General libraries, frameworks and open-source components remain under their own license.
Thomas Foundry reserves the right to reference the project — anonymised where required — in a portfolio or case study, unless agreed otherwise in writing.
Liability
Thomas Foundry is liable only for direct damages, up to a maximum of the amount invoiced for the assignment in question. Indirect damages — lost profit, lost revenue, reputational damage, missed opportunities — are excluded.
Liability expires 12 months after delivery, unless a complaint is filed in writing within that period.
Termination
Either party may terminate the agreement immediately in case of material breach by the other party, after written notice including a reasonable cure period of at least 14 days.
If the client terminates early without a breach on our side, work already performed is invoiced on a time-and-materials basis.
Confidentiality
Everything shared during an assignment — business information, customer data, technical details — is treated confidentially by both parties. This applies during and after the agreement, for an indefinite period.
Governing law
All agreements with Thomas Foundry are governed by Dutch law. Disputes are resolved by mutual consultation where possible; failing that, they are submitted to the competent court in the district of Midden-Nederland.

This is v1.0 of the general terms. This version was drafted by Thomas Enterprise I BV without formal legal review. For assignments where the legal weight requires it (government, financial, healthcare), we refer to bespoke contracts.
